Terms of Service

Welcome to Bar Poker Manager. These Terms of Service (“Terms”) govern your access to and use of the Bar Poker Manager platform, including all websites, applications, and services (collectively, the “Service”) operated by Bar Poker Technologies, Inc. (“Company,” “we,” “us,” or “our”), a Georgia corporation.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

Bar Poker Manager is a software-as-a-service (SaaS) platform that provides poker league management tools, including but not limited to tournament scheduling, player registration, leaderboard tracking, venue management, and public-facing league websites. The Service is offered through subscription plans with varying features and capacity limits.

2. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

3. Subscription Plans, Payment, and Renewals

3.1 Plans and Pricing
The Service is offered through various subscription tiers, each with defined features and limitations. Current pricing and plan details are available on our website. We reserve the right to modify pricing with 30 days’ advance notice to existing subscribers. Price changes take effect at the start of your next billing cycle.

3.2 Billing and Auto-Renewal
Subscription fees are billed in advance on a monthly or annual basis through our third-party payment processor, Stripe. ALL SUBSCRIPTIONS AUTOMATICALLY RENEW at the end of each billing period (monthly or annually) unless you cancel before the renewal date. By subscribing, you expressly authorize us to charge your designated payment method for recurring fees at the then-current rate. It is your responsibility to cancel before the renewal date if you do not wish to continue.

3.3 Failed Payments
If a scheduled payment fails, we may retry the charge up to three (3) times over a 14-day period. If payment cannot be collected, your subscription may be suspended or downgraded. We are not responsible for any fees, overdraft charges, or other costs imposed by your financial institution as a result of charges authorized under these Terms.

3.4 No Refunds
ALL FEES ARE NON-REFUNDABLE. This includes, without limitation: monthly and annual subscription fees, partial-period charges, fees for unused features or capacity, and charges for periods during which the Service was available but not used. By subscribing, you acknowledge and agree that you will not be entitled to a refund for any reason, including but not limited to dissatisfaction with the Service, failure to cancel before a renewal date, accidental purchase, change of plans, league closure, or reduction in league size. We do not provide prorated refunds, credits, or adjustments for unused portions of any billing period. Chargebacks or payment disputes initiated without first contacting us at legal@barpokermanager.com may result in immediate account suspension.

3.5 Cancellation
You may cancel your subscription at any time through the Stripe customer portal accessible from your account dashboard. Upon cancellation, your subscription will remain active and fully functional until the end of the current paid billing period. No refund or credit will be issued for the remaining time. After the billing period expires, your account will be downgraded and your league website may be deactivated.

3.6 Free Trials
We may offer free trial periods at our discretion. At the end of a trial period, your subscription will automatically convert to a paid subscription at the applicable rate unless you cancel before the trial ends. You authorize us to charge your payment method on file when the trial period expires.

If you use the Service as a league player, you agree to provide accurate personal information, participate in league activities in good faith, and comply with the rules established by your league administrator. You acknowledge that league administrators have the authority to manage membership, including suspension or removal from the league.

7.1 Our Property
The Service, including all software, design, text, graphics, logos, and trademarks, is the property of Bar Poker Technologies, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works based on the Service without our express written permission.

7.2 Your Content
You retain ownership of any content you submit to the Service, including league data, player information, and website content. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display such content solely for the purpose of providing and improving the Service.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

9. Third-Party Services

The Service integrates with third-party services including Stripe for payment processing, Google Analytics for usage tracking, and Google AdSense for advertising. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

10. Advertising

We may display advertisements on league websites hosted through the Service. These advertisements are served through Google AdSense or similar advertising networks. We reserve the right to place advertising on all league websites as part of the Service, subject to the terms of your subscription plan.

11. White-Label Websites

League websites created through the Service are hosted on subdomains of barpokermanager.com or on custom domains configured by the league administrator. While league administrators may customize the appearance and content of their league website, the underlying platform remains the property of Bar Poker Technologies, Inc. We reserve the right to include a “Powered by Bar Poker Manager” attribution on all league websites.

12. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, updates, or modifications that may temporarily affect access to the Service. We will endeavor to provide advance notice of planned maintenance when possible.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAR POKER TECHNOLOGIES, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Indemnification

You agree to indemnify, defend, and hold harmless Bar Poker Technologies, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

16. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service will immediately cease.

17. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in the State of Georgia.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or through the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes.
